Confidentiality Agreement

Property : The Lion Suites - Reference# 2006 

The information requested, describing the subject properties has been presented by Larry Berisoff / Brady Berisoff of BC Commercial Group, RE/MAX Kelowna and is confidential information. The sole purpose of the confidential information is to assist the recipient in deciding whether to pursue the acquisition of the subject business and / or property. This confidentiality agreement is to include any and all business and / or property information the recipient receives from Larry Berisoff / Brady Berisoff of BC Commercial Group, RE/MAX Kelowna, now or in the future.

By accepting the confidential information, the recipient agrees to keep permanently confidential, all the information contained therein or made available in connection with any further investigation of the business, excluding:

1. Any information which is already known by the recipient at the time of the disclosure;
2. Information acquired after the disclosure from a third party having the right to make such disclosure;
3. Information now available to the public or which hereafter becomes available to the public through no breach of a confidentiality obligation of the recipient.

The information will be kept confidential by the recipient, and shall not, without prior written consent of Larry Berisoff / Brady Berisoff of BC Commercial Group, RE/MAX Kelowna be disclosed by you, your agents, representatives or employees who need to know the information for the purpose of evaluating the transaction, who are informed by you of the confidential nature of the information and who shall agree to act in accordance with the terms and conditions of this agreement.

If the recipient is acting as agent on behalf of a third party the recipient may disclose the name of the third party to and secure its written approval for the disclosure of the confidential information to such third party. Such disclosure approval will be granted only on condition that such third party execute a confidentiality agreement with the recipient in form and content identical to that contained herein.

The recipient further agrees that he / she will not enter the premises to discuss any matters whatsoever with any staff, managers or employees without the Vendor’s written authorization or accompaniment. 

Larry Berisoff / Brady Berisoff of BC Commercial Group, RE/MAX Kelowna believes that the confidential information to be provided is accurate, however, it expressly disclaims any and all liability for express or implied representation or warranties for information contained in, or omissions from such confidential information or any other written or oral communication transmitted or made available to the recipient.

The Vendor and Larry Berisoff / Brady Berisoff of BC Commercial Group, RE/MAX Kelowna reserve the right to withdraw, amend, replace all or any party of this information at any time and undertake no obligation to provide prospective purchasers with access to any additional information. In all cases prospective purchasers should conduct their own investigations and analysis of the Property. Any sale of the Property will be subject to the terms of an Accepted Purchase and Sale Agreement, which will supersede all prior communications including this information package.

As I am the agent of the Seller of this property, beyond providing basic information for the property to you, I am not able to provide you with agency, you will need to have your own agent or be an unrepresented party. Upon receipt of the accepted copy, the confidential material will be forwarded to you.
